Teardown #7 — What Premier Actually Sold, and What It Kept
The agreement that priced the divestiture was never sealed and never fought over. It has been on EDGAR since June 2023, and it answers questions the litigation only gestures at: what was sold, who sold it, what was deliberately left behind — and the multiple that priced it.
The document nobody read
The Alliant litigation made a set of GPO contracts public for the first time, and the industry has spent eighteen months reading them. Meanwhile, the document that created the entire situation has been sitting in plain sight on EDGAR since June 2023.
The Equity Purchase Agreement — the operative agreement for Premier's sale of its non-healthcare group purchasing business to OMNIA Partners — was filed as an exhibit to Premier's Form 8-K the day after signing. It is unredacted. It runs ten articles, with ten annexes and five exhibits. It was never sealed, never fought over, and never, so far as the public record shows, read closely by anyone in the industry it describes.

If you have worked on this, tell us whether our read is right. Answers are read by a person, never published under your name, and a confirmation from someone who would know is how a read becomes a finding.
The record supplies the paper. People supply the meaning.
Public documents show what was decided and announced. They cannot show how a category actually gets bought, why a renewal went the way it did, or what the room sounded like when the call was made. That is what GPO Intel's Expert Network exists to capture.
If you have run a category, sat on a committee, carried a bag for a manufacturer, or worked the health-system side of these relationships, we ask short questions only people like you can answer. Asynchronous, answered from memory, screened before publishing, attributed on your terms (named, title only, or anonymous), and never about your current employer.
Join the Expert NetworkThese are public federal court records. Allegations are unproven. All defendants have denied wrongdoing. GPO Intel provides these documents for research purposes and takes no position on the merits of either case.
Expert contributors are paid for approved answers, as a share of revenue for as long as the answer is used. Contribution does not affect coverage.
