Expert Contributor Agreement

This Expert Contributor Agreement ("Agreement") governs your participation in the GPO Intel Expert Contributor Program (the "Program"), operated by GPO Intelligence, LLC, doing business as GPO Intel ("we," "us," or "our"). It supplements our Terms of Service and Privacy Policy, which also apply to your use of the Service. By applying to the Program or submitting a contribution, you agree to this Agreement.
1. The Program
Through the Program, approved industry experts contribute answers, corrections, and intelligence ("Contributions") that may be reviewed, edited, synthesized, and surfaced in the Service. Participation is entirely voluntary. Nothing in this Agreement creates an employment, agency, partnership, or joint-venture relationship between you and GPO Intelligence, LLC.
2. Eligibility and Conduct
You may contribute only information that is lawful and non-confidential. By submitting a Contribution, you represent and warrant that it does not breach any non-disclosure agreement, employment agreement, or trade-secret law, and that you have the right to share it. In particular, you agree that you will:
- Never disclose your current employer's confidential information
- Never disclose any organization's current confidential pricing or fee terms
- Not submit material that is false, defamatory, or violates any applicable law or third-party right
We may reject or remove any Contribution, and suspend or remove any contributor from the Program, at our sole discretion.
3. License to Contributions
You grant GPO Intelligence, LLC a perpetual, worldwide license — royalty-bearing solely as described in this Agreement — to use, reproduce, edit, synthesize, create derivative works from, and display your Contributions as part of the Service and related materials. Attribution of your Contributions is handled according to your stated attribution preference (named, title-only, or anonymous).
4. Compensation
The current Program compensation (for example, deep research credit per approved answer) is described in the product at the time you contribute. Compensation terms may be modified or discontinued prospectively at our discretion; changes do not apply retroactively, and compensation accrued under the terms in effect at the time of contribution will be honored. Any future per-citation royalty program will be governed by additional terms published before that program is activated.
5. Taxes
Contributors are independent parties responsible for their own taxes on any compensation received under the Program. We may require you to provide a completed IRS Form W-9 (or W-8 series form for non-U.S. persons) before paying compensation, and we will issue Form 1099s where legally required.
6. Termination
Either party may end participation in the Program at any time, for any reason, by notice to the other (email to harrison@gpointel.com suffices). The license granted in Section 3 survives termination with respect to Contributions already published or incorporated into the Service.
7. Disclaimers and Limitation of Liability
The Program and the Service are provided "as is" and "as available," and the warranty disclaimers and limitations of liability in our Terms of Service apply to this Agreement. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Program or this Agreement shall not exceed the greater of (a) $100 or (b) the amounts we paid or credited to you under the Program in the 12 months immediately preceding the event giving rise to the claim.
8. Governing Law and Venue
This Agreement is governed by the laws of the State of Utah, without regard to conflict of law principles. Any dispute arising out of or relating to this Agreement shall be brought exclusively in the state and federal courts located in Cache County, Utah, and the parties consent to personal jurisdiction and venue in those courts.
