The document nobody read

The Alliant ⚖️ litigation made a set of GPO contracts public for the first time, and the industry has spent eighteen months reading them. Meanwhile, the document that created the entire situation has been sitting in plain sight on EDGAR since June 2023.

The Equity Purchase Agreement — the operative agreement for Premier ⚖️'s sale of its non-healthcare group purchasing business to OMNIA Partners ⚖️ — was filed as an exhibit to Premier's Form 8-K the day after signing. It is unredacted. It runs ten articles, with ten annexes and five exhibits. It was never sealed, never fought over, and never, so far as the public record shows, read closely by anyone in the industry it describes.
